The Rural Community of Campobello Island is tendering for Waste Removal Services.
I. INQUIRIES

IV. ACCEPTANCE OF TERMS
In consideration of the Contractor performing the work, the Contractor hereby accepts and agrees to be bound by the terms and conditions of this tender.

#
1. GENERAL
a) The work under this contract comprises the inclusion of all labour, materials and equipment required to provide the waste removal services outlined in these specifications for the Rural Community of Campobello Island (referred to as "the Community herein) and shall meet the requirements of the Owner's Representative.
b) Territory and house count: Prior to submitting a bid for this contract, all interested bidders should get a copy of the maps showing the community. Should the Contractor deem it important to have a house count, it is their responsibility to do their own residential count as no house count will be provided by the Rural Community Council Office.
2. LOCATION AND DURATION OF CONTRACT
a) Location: __Rural Community of Campobello Island.
b) Duration: This contract shall extend for a five (5) year term, from January 1, 2026 until December 31, 2030, with the option to renew for two (2) additional one (1) year terms upon written agreement by both parties. Pricing shall be subject to negotiation of a satisfactory contract price not to exceed the tendered price plus any published increase in the New Brunswick Consumer Price Index. The Contractor shall NOT include any amount in the bid price for the Harmonized Sales Tax (HST).
3. PAYMENT
a) In consideration of the Contractor performing the work in accordance with these specifications and to the satisfaction of the Rural Community representative, the Contractor shall submit twelve (12) invoices for each annual term of the contract. Invoice dates will be the first of every month. These twelve invoices must cover the entire annual contract term. Payment will be processed on or around the 1st of each month for the previous month's service.
b) Invoices shall be submitted on a monthly basis; however, post-dated invoices will not be accepted.
c) NOTE: The Contractor shall NOT include any amount in the bid price for the Harmonized Sales Tax (HST).

4. TENDER
a) All bids to be returned on the Invitation to Tender Email
b) The Contractor shall submit the tender in a lump sum. Such lump sum shall be deemed to include all such sums as the contractor considers proper for expenses and profit in connection with the work involved and shall be in full compensation for the completed work.
c) The sum named in the tender form is subject to acceptance by the Rural Community for a period of twenty one (21) days beginning at the tender closing date. If the tender is not accepted within this period, the Contractor may request the tender be withdrawn.
d) Tenders will be called and awarded in accordance with the Procurement Act and Regulation 2014-93.
e) The Contractor shall be deemed to have inspected the community and satisfied himself as to the nature of the work and in general, to have obtained all necessary information on all conditions affecting this tender.
If Applicable:
f) Compliant bids will be evaluated based on price, the lowest price bid will then be subject to reference checks as indicated in 4 (g) (h) and (i) below prior to award of contract.
g) Each proponent must submit prior to award, two (2) reference contact information for whom the proponent has performed work within the previous five (5) years.
h) In addition to the references provided by the proponent, the Rural Community may consult with other owners and agencies to obtain information on the proponent's past performance within the previous two (2) years.
i) Failure to submit the required references, or reference check results that are unsatisfactory to the Rural Community, in its sole and absolute discretion, will result in the disqualification of the proponent.
j) The Rural Community reserves the right to add or remove additional locations throughout the term of the contract.
k) In the event the Rural Community changes the manner in which the services specified on this tender are obtained, the Community reserves the right to cancel the contract at any time, with 30 days advance notice to the successful vendor. The Rural Community of Campobello Island will not be subject to any penalties or costs associated with contract cancellation.
l) The lowest of any tender is not necessarily accepted.
{After the tender is awarded, you must contact the Rural Community directly with any questions relating to the work to be performed.}
5. BID SECURITY DEPOSIT
a) A bid bond in the amount of (TWO THOUSAND ($2,000.00)) shall accompany the tender. This deposit will be forfeited to the Rural Community of Campobello Island in the event that the bidder will not enter into a formal contract for any reason whatsoever.
b) The tender guarantee of all bidders shall be returned promptly by the Rural Community upon the award of the tender and in any event will not be held beyond a thirty (30) day period.
6. WORK INCLUDED
The work covered in this contract includes, but is not necessarily limited to the following:
GARBAGE REMOVAL
1. All garbage collection and disposal service will be taken to the Hemlock Knoll Transfer Station located in Lawrence Station, NB. for the community of Campobello Island.
2. From January 1st to December 31st of each year, during the continuance of this contract, garbage collection and disposal service is to be provided on every municipal road.
3. The Contractor agrees, on a weekly basis, to collect, remove and carry away from each and every property (including seasonal dwellings) as defined in the Garbage Collection Regulation - Municipalities Act (referred to as "Regulation 2002-59" herein) within the designated territory, all properly bundled, bagged / boxed household garbage acceptable to the landfill site; including garbage which has been displaced and / or scattered, as a result of scavengers, foraging animals or as a result of
transferring garbage from one vehicle to another.
4. The Contractor agrees to pick up garbage from the community within the designated territory from properties as defined in Regulation 2002-59, and it shall be taken to the Hemlock Knoll Transfer Station located at Lawrence Station, NB to be weighed in as garbage collected from the Rural Community of Campobello Island. The cost of collecting garbage from any municipal, industrial, commercial and institutional (ICI) sites or any other business is not part of this contract and such garbage cannot
be included on the truck with the local Rural Community residential garbage.
5. The Contractor agrees to provide garbage collection and disposal service on the regular day in accordance with the contract, to eligible farmers for collection of low density polyethylene plastic film material, of maximum thickness of 8 mil (0.2032 mm). A farmer, for the purpose of garbage collection and disposal services provided by the Rural Community is defined as a person who operates an agricultural operation for gain or reward, or in hope or expectation of gain or reward, and possesses
a valid farmer fuel tax exemption card (as established under the Gasoline and Motive Fuel Tax Act), or a Registered Agricultural Producer Number (established under the Agricultural Producers Recognition and Stable Funding Act).
6. (a) The Contractor agrees the weekly collection shall be on the same day of each and every week and:
i. Shall, at the beginning of their contract, notify the householders to identifying the name of their company, their telephone number, day and hour of the collection plus the date the contract begins, in accordance with 8 (c);
ii. Shall provide thirty (30) day notice to, and obtain the approval of the Rural Community before any changes are made to their schedule;
iii. Shall notify the householders, of any changes to the days of scheduled pick-up at least fifteen (15) days prior to the change, in accordance with 8 (c). Example: New Year's Day, Good Friday, Easter, Victoria Day, Canada Day, NB Day, Labour Day, Thanksgiving, Remembrance Day, Christmas Day and Boxing Day.
iv. Contractor must discuss their proposed starting time of collection and the proposed schedule for special collections with the Rural Community, and agreement must be reached prior to commencement of contract.
v. Successful contractor must maintain regular schedule as agreed upon with the Rural Community.
vi. Weekly regular collection must be finished on the same scheduled day of collection.
(c) The Contractor agrees to notify the householders, at their expense, by way of a pamphlet, flyer or other such printed material, placed by the Contractor at each house. The printed material must have the approval of the Rural Community prior to the Contractor placing such notices at each house.
7. The Contractor agrees to establish and maintain a telephone service during the hours of 8:00 to 18:00 on each collection day, to receive complaints and respond to inquiries and,
(a) The Contractor agrees to provide this service.
(b) The Contractor agrees to attend to all complaints or inquiries in connection with the performance of their duties under this section.
(c) The Contractor agrees to respond in a professional and cordial manner, of the complaining party, to all complaints or inquiries within 24 hours.
8. The Contractor agrees to maintain a written record showing particulars of complaints received an action taken and shall make the same available to the Clerk/Treasurer of the Rural Community within 5 days of receipt of a request.
9. The Contractor agrees that on all public or private roads / streets / lanes and highways, he shall collect the garbage from the right side of the road at all times and shall not cross the roadway to pick up garbage, nor shall he request individual homeowners to deposit their garbage on the side of the road opposite their residence.
7. DAMAGES BY CONTRACTOR
1. The Contractor assumes responsibility for any damage to buildings or property caused by the contractor's employees or equipment. Damage shall be made good using new materials to match existing work in kind, quality and workmanship.
2. The Contractor shall be responsible to report to the Owner's Representative any existing damage prior to assuming the Contract. A site inspection at the end of each season will be carried out to determine if the Contractor is responsible for any damages caused during the course of the work.
8. SUPERVISION [if applicable]
1. The Contractor shall provide a telephone number where the supervisor or foreman may be reached at all times. The supervisor or foreman shall respond to a call within twenty-four (24) hours.
2. The Contractor shall provide proper supervision to ensure that all work is carried out in accordance with these specifications. It is the responsibility of the supervisor to ensure that the work is properly carried out for the duration of this contract.
3. The Contractor, upon request, shall be responsible to identify all employees that will be working under this contract at any given time during the term of the agreement. Furthermore, all employees and supervisory staff carrying out work under this contract are to have basic reliability checks and criminal record checks carried out at the Contractor's expense. These shall be delivered to the Owners Representative within 15 days of contract award.
4. The Contractor shall respect the Smoke-free Places Act.
5. The Contractor shall not transfer, assign or sell any of its rights under this agreement nor grant any concession or license to any other party whatsoever within or with respect to any of the rights accruing to it under this agreement without the prior written consent of the Owner.
9. TOOLS, EQUIPMENT AND SUPPLIES
1. The Contractor shall provide the Rural Community, upon request, a list of equipment to be used in carrying out the work under this contract. It shall be the Contractor's responsibility to demonstrate to the Rural Community that the Contractor has the equipment required to carry out the work under this contract.
2. The Contractor agrees to have their name and telephone number clearly display on both sides of all their vehicles so as to be visible at a distance of at least fifteen (15) meters.
3. The Contractor agrees to conduct such collections and removal using trucks which are provided with a satisfactory fixed or moveable cover and will deposit all materials to the solid waste facility as noted in this document. The Contractor agrees to collect any debris that falls from the truck either accidentally or due to improper collection from the point of collection until the time of disposal at the appropriate solid waste facility.
4. The Contractor agrees to maintain their equipment in a mechanically sound condition and shall have access to backup equipment at all times during the continuance of the contracts.
5. The Contractor must be equipped with the proper equipment and manpower to do the weekly collection on all public or private roads / streets / lanes and highways within the Community on the scheduled day of collection and within five (5) days of the scheduled date for special collections, as well as have immediate spare equipment in the event of a breakdown of their equipment.
6. The Rural Community of Campobello Island may inspect the Contractor's equipment and back up equipment, to establish if the Contractor is capable of handling the estimated work load of the contract. Only the equipment included with bid submissions and approved by the Rural Community may be used in the performance of this contract. If a piece of equipment not in the original tender submission is to be used for any period of time, a letter specifying the updated equipment must be submitted to
the Rural Community for approval.
7. The Contractor agrees that their vehicles will be equipped with lights, including flashing or revolving amber warning lights, in conformity with the Motor Vehicle Act, R.S.N.B. 1973, c.M-7 as amended.
10. CODES, STANDARDS AND PERMITS
1. The Contractor agrees that at all times he will be subject to and required to observe all rules, policies, and legislation including any that are or may hereafter be imposed as related to the work performed under this contract.
2. The Contractor agrees to obey and carry out all lawful orders given to him by the Clerk/Treasurer or her representative.
3. The Contractor is responsible for ensuring that all municipal and provincial by-laws and codes are adhered to.
4. The Contractor shall advise regulatory authorities, request inspections and obtain necessary permits and certificates.
5. The Contractor is responsible for obtaining and paying for all permits.
11. INDEMNITY:
1. The Contractor shall indemnify the Rural Community for theft of any property belonging to and its committee members, by any guest, invitee, agent or employee of the Contractor committed during the performance of this contract.
12. INSURANCE
1. The successful Contractor shall, at the Contractor's expense, provide and maintain a Motor Vehicle Public Liability Insurance and a Comprehensive General Liability Insurance Policy in the name of the Contractor and the Rural Community of Campobello Island in the Province of New Brunswick for a limit of not less than $2,000,000.00 inclusive for bodily injury, including death and property damage prior to the issuance of an award.
2. Such Insurance shall include:
(a) Cross Liability Clause
(b) Contingent Employers Liability
(c) Completed Operations and product liability for a period of one year beyond completion
(d) Property Damage on an Occurrence Basis
(e) Personal Injury
(f) Contractor's Protective Liability
(g) Theft of property belonging to the Rural Community of Campobello Island in the Province of New Brunswick by any guest, invitee, agent or employee of the Contractor.
Such policy shall remain in force and not be amended, cancelled or allowed to lapse without thirty (30) days prior notice to the Rural Community. A Certificate of Insurance incorporating these requirements must be filed with the Municipality.
3. The Rural Community may request current documentation from the Contractor from time to time, which will show Motor Vehicle Public Liability Insurance and Comprehensive General Liability Insurance coverage; vehicle registration showing proof of ownership by the Contractor, motor vehicle inspection documentation and / or vehicle rental agreements. Failure to provide the appropriate documentation within the timeframe agreed to between the Rural Community and the Contractor shall be ground for
the termination of the contract.
13. WORKSAFE New Brunswick [if applicable]
The Rural Community of Campobello Island requires proof of coverage in the form of a certificate issued by WorkSafe NB identifying the contractor as registered and in good standing with WorkSafe NB prior to the issuance of an award and must remain in good standing for the duration of the contract.
14. TAXES AND PAYROLL DEDUCTIONS
The Contractor shall pay any and all payroll taxes or contributions including Employment Insurance, Canada Pension Plan and Workers' Compensation at no additional cost to the Municipality.
15. SERVING NOTICES
Any notice required to be given to the Contractor shall be in writing and shall:
a) Be delivered to the Contractor in person, or, if the Contractor is a corporation or
partnership, be delivered to the superintendent or to a senior administrative officer of the corporation or partnership, or
a) Be forwarded by certified mail or courier addressed to the Contractor at the address provided at the time of tendering or at such other address as the Contractor may advise by notice in writing, or
b) Be sent by facsimile.
16. DEFAULT OR REMOVAL OF WORK FROM CONTRACTOR
1. In any of the following cases, namely;
(a) Where the Contractor has made default or delayed in commencing or in diligently executing the work or any portion thereof to the satisfaction of the Rural Community has given notice thereof to the Contractor and has by such notice required the Contractor to put an end to such default or delay and such default or delay continues for six days after such notice was given.
(b) Where the Contractor has made default in the completion of the work, or any portion thereof, within the time limited for such completion by the contract.
(c) Where the Contractor has become insolvent.
(d) Where the Contractor has committed an act of bankruptcy.
(e) Where the Contractor has abandoned the work.
(f) Where the Contractor has made an assignment of the contract without the required consent, or
(g) Where the Contractor has otherwise failed to observe or perform any of the provisions of the contract the Rural Community may, without any other authorization, take all or any portion of the work out of the Contractor's hands and may employ such means as he may see fit to complete the work.
2. Where the work or any portion thereof has been taken out of the Contractor's hands under subsection (1), the Contractor shall not, except as provided in subsection (3), be entitled to any further payment in respect of the work so affected including payments then due and payable but not paid, and the obligation of the Rural Community to make payments in respect thereof as provided for in the Terms of Payment shall be at an end with respect to that portion of the work taken out of the
Contractor's hands, and the Contractor shall be liable to and upon demand therefore shall pay to the Rural Community an amount equal to all loss and damage suffered by the Rural Community by reason of the non-completion of the work by the Contractor.
3. Where the work or any portion thereof has been taken out of the Contractor's hands under subsection (1), and is subsequently completed by the Rural Community, the Rural Community shall thereafter determine the amount, if any, of holdback and progress claims of the Contractor in respect thereof unpaid at the time of taking the work out of the Contractor's hands, and in the opinion of the Rural Community are not required for the purposes of the contract, the Rural Community shall, authorize
payment of the amount to the Contractor.
17. TERMINATION OF CONTRACT OR PARTIAL CANCELLATION
a) The Rural Community may terminate this contract, or portions thereof, for cause or convenience by giving ninety (90) day notice in writing to the Contractor.
b) The Contractor may terminate this contract for cause or convenience by giving ninety (90) day notice in writing to the Rural Community of Campobello Island or their representative. In doing so, the Contractor is not permitted to re-bid on the tenders he has terminated.
c) the Rural Community may, without any other authorization, take all or any portion of the work out of the Contractor's hands and may employ such means as they may see fit to complete the work.
d) The Contractor shall upon receipt of a notice pursuant to subsection (a) cease all operations forthwith.
e) If the contract is terminated pursuant to subsection (a), the Rural Community shall pay to the
Contractor an amount equal to the value as agreed upon by the Contractor and the Rural Community of all work performed by the Contractor as of the date of termination less all amounts already paid to the Contractor by the Rural Community less all amounts which the Contractor is liable to pay to the Rural Community.
19. EXTENSION OF CONTRACT
At the discretion of the Rural Community the contract may be extended for up to two (2) additional one (1) year periods subject to:
a) The Contractor will request an extension, in writing, not less than [3] months prior to the expiration of the contract.
b) The negotiation of a satisfactory contract price not to exceed the tendered price plus any published increase in the New Brunswick Consumer Price Index.
c) The retention of the terms and conditions of the original contract.
APPENDIX A
A person who disposes of garbage or refuse through a garbage and refuse collection service provided by the Rural Community shall ensure that all garbage and refuse that is placed for collection at curbside or roadside
a) For collection of household waste:
i) is contained in a bin, bag, or cardboard box that is securely closed and that does not weigh more than 23 kilograms when filled or exceed 1.2m x 0.6m x 0.6m, or
ii) is securely bundled into a package that does not weigh more than 23 kilograms or exceed 1.2m x 0.6 m x 0.6 m if it cannot be packaged in accordance with paragraph (i).
No person shall dispose of more than 45 kilograms of garbage or refuse bundled in accordance with paragraphs (a) on any collection day.
No person shall use a plastic shopping bag for the purposes of paragraph (a).
Other:
Contractor must discuss their proposed starting time of collection and the proposed schedule for special collections with the Rural Community, and agreement must be reached prior to commencement of contract.
Successful contractor must maintain regular schedule as stipulated and agreed upon with the Clerk/Treasurer and the Rural Community of Campobello Island.
Weekly regular collection must be finished on same scheduled day of collection.
The Contractor agrees not to start garbage collection before 07:00 a.m. - no exceptions will be made.
