FSRA2024-066 - Board Portal

FSRA is going to market for a Board of Directors (“Board”) Portal. The Board Portal serves as a distribution method for Board materials to Board members, a library of educational materials, and a way for Board members to vote on consent motions. The portal is a critical element of how the Board functions. Materials for all meetings of the Board and Committees of the Board are distributed via the Board Portal in a secure manner. The Board Portal also serves as a repository of reference materials for the Board. In addition, the Board Portal can be used to distribute resolutions in writing and record votes. There is a need to ensure that a Board Portal governance software solution is available to support critical Board processes. The Corporate Secretary’s Office (“CSO”) is responsible for providing support services to the Board by developing the agendas, coordinating the Board meeting schedules, material, minuting and filing of Board minutes for all Board meetings and subcommittee meetings. The CSO is also responsible for the facilitation of Board decisions/follow-up and the signing of documents.
